Club Constitution:
 
RULES OF THE GERALDINE DISTRICT GOLF CLUB (Incorporated)
   
Registered under the Incorporated Societies Act, 1908
Founded 1907.
   
1. That the Rules hitherto existing are hereby cancelled and the following substituted:-
   
NAME AND DESCRIPTION
2. The Club shall be called "The Geraldine District Golf Club, Incorporated".  The Club shall consist of those who originally became members, together with all those who have since been or may hereafter be elected as life members or otherwise in accordance with the Rules of the club in force for the time being.

The registered office of the Club shall be at the Club House, Geraldine.
Due notice of change shall be given to the Registrar.

The object of the Club is to encourage and promote the enjoyment of the game of golf, provide for members a Golf Course and Grounds and Club-House, and to supply them with all things incidental to the playing of Golf, and the use of the Grounds and its Funds are to be applied to these purposes.

The Club colours shall be Red and Black.

   
MEMBERS
3. Members shall be divided into the following classes:-
   
(a) Full Member:
A Full Member is one who has full playing rights.
   
(b) Life Member:
The Club may on the recommendation of the Committee elect any member a Life Member, for the services rendered by such a member to, or for the benefit of the Club.  A Life Member shall not be liable for any annual subscription and shall have all the privileges of a Full member.
   
(c) 9 Hole Member:
A 9 Hole Member is a member whose principle playing day is as arranged under the 9 hole rules.  This member may not play more than 9 holes on any one day, except under special circumstances as granted by the Management Committee or Match Committee. 
The annual subscription will be a % of the Full Subscription. 
The % will be reviewed annually.
   
(d) Country Member:
A Country Member is a member who is a financial member of another Registered Golf Club in New Zealand but who also wants playing rights on Denfield Course.
This member has full playing rights except being not eligible to play in Club Championships.  The members handicap will be computed and maintained by his/her parent Club.
The annual subscription will be a % of the Full Member Subscription.
The % will be reviewed annually.
   
(e) Restricted Member:
A Restricted playing member, is any member who through physical disability, or otherwise adequate reasons is unable to play not more that 9 holes.  Inclusion in this class is only available on application to the Committee, whose decision shall be final.
The annual subscription will be a % of the Full Member Subscription.
The % will be reviewed annually.
   
(f) Junior Member:
A Junior Member is one who is over 11 years and under 19 years of age at the commencement of the club's year.  A Junior Member has full playing rights.
The annual subscription will be a % of the Full Member Subscription.
The % will be reviewed annually.
   
(g) Summer Member:
A Summer Member is a member who has full playing rights from the day after Closing Day to the day before Opening Day.
The annual subscription will be a % of the Full Member Subscription.
The % will be reviewed annually.
   
(h) Associate Member:
An Associate Member is one who has notified the Committee before Opening Day that he/she has not played and does not intend to paly folf on the Club's Course during the current financial year.  However, this member may play the course not more than twice in any financial year.
The annual subscription will be a % of the Full Member Subscription.
The % will be reviewed annually.
   
(i) School Child Member:
A School Child Member is a member who is not younger thant 6 years and is a full time school pupil.  This member may not play golf anywhere on the Course except on uch days and times as the Management Committee approves.  While on the Course, these members must be under the continuous control of an adult.
The annual subscription will be a % of the Full Member Subscription.
The % will be reviewed annually.
   
MANAGEMENT
4.  

(a)

The General affairs of the Club shall be under the management of a Committee consisting of:-

Two Vice Presidents
The Immediate Past President
The Men's Club Captain
The Women's Club Captain
The Men's Vice Club Captain

Five Chairpersons of Sub-Committees:
     Grounds
     Bar
     Social
     Buildings
     Catering
  The above shall be elected at the Annual General Meeting.
Clause 4(a) (iv) and (vi) Men Members only vote.
Clause 4(a) (v) and (vii) Women Members only vote.
The Assistant Treasurer appointed (Rule 6k) shall have full voting rights at Committee Meetings.
The Chairperson, at any meeting, in addition to his/her own vote as a member shall have a casting vote.
The Past President to serve one year term only.
The Buildings Committee to include a Cleaning convenor.
   

(b)

The Patron elected at an Annual General Meeting shall hold office until revoked at an Annual General Meeting or upon transfer from the district.
When the position of Patron falls vacant, members present at the following Annual General Meeting shall appoint a Patron who shall hold office until revoked at an Annual General Meeting, or upon transfer from the District.
   
(c) The Management Committee's appointee to the position of Representative on the Aorangi, or the South Canterbury Women's Golf Union, (if not already a member of the Management Committee) be co-opted to the Management Committee with full voting and speaking rights.
   
(d) A Chairperson of a Sub-committee who for reasons beyond his/her control is unable to attend an officially designated meeting, may appoint a deputy for that meeting who shall have full speaking and voting rights on matters pertaining to that sub-committee only.
   
SECRETARY AND TREASURER
5. The Secretary shall be a member of the Club.  The Secretary shall keep full and correct minutes of all proceedings at meetings of the club and Committee, and shall produce them at all meetings, and shall also keep a list of members and their addresses.  The Secretary shall also conduct correspondence, and perform general and secretarial duties, and shall have custody of the title-deeds, and other documents belonging to the Club.

The Treasurer shall administer monies received by the Club.  He/she shall pay all rent, interest, salaries, taxes and accounts due by the Club, and incurred by the Committee, and shall enter such receipts and payments in his/her accounts, and shall submit a statement of the financial affairs of the Club to the Annual General Meeting, such statement having been previously examined and certified to as correct by an Auditor appointed by the Club in General Meeting.

Alternatively, the Committee may appoint a paid Secretary and Treasurer or Secretary-Treasurer.  They shall fix duties, terms of appointment and salaries to be paid.

   
POWERS OF COMMITTEE
6. The Committee shall have the management of the affairs of the Club, and shall have the power to make, alter, or rescind By-laws not repugnant to the Rules, or act for the general comfort and accommodation of members and all regulations made by the Committee, and orders given by them, shall be binding on every member of the Club until set aside by a General Meeting.
  (a) The Committee shall have the power to appoint sub-committees.  The President and Secretary are ex officio members of all sub-committees.
  (b) Notices posted in the Club House by the Secretary on behalf of the Committee, other than those calling General and Special General Meetings, shall be considered sufficient notice to members.
  (c) Should any member of the Committee absent him/herself from three consecutive meetings of the Committee without leave his/her seat shall be declared vacant.
  (d) Any vacancy occurring in the Committee during the year shall be filled by the Committee, and the member so elected shall continue to act until the next Annual Meeting.  The Committee shall make a report to the Annual Meeting on the affairs of the Club and shall submit a Balance Sheet and Statement of Accounts duly audited.

  (f) At meetings of the Committee seven shall form a Quorum.
  (g) All payments on behalf of the Club shall be made by order of the Committee by cheques signed by any two of the President, and the Secretary and the Treasurer.
  (h) The Committee shall have power to have posted in the Club House a list of members whose subscriptions are in arrears.
  (i) The Committee shall have power at any time to close the membership of playing members or any class of playing members to the exclusion of other classes.
  (j) Without prejudice to the general powers of the Committee, it is hereby expressly directed that the Committee shall be entrusted with and may exercise and perform the following powers and duties:-
    [i] To purchase, and construct and maintain buildings, fences, machinery, and other works as they may consider necessary, for the use of the Club, and to lease or except leases of any land, easements, or tenements including the right to surrender and accept the surrender of any lease or any other property of the Club upon such terms and conditions as they think fit.
    [ii] To borrow or raise upon mortgage of the real or personal property of the Club, or any part or parts thereof, or upon debentures, or mortgage debentures of the Club, and to issue such debentures or mortgage debentures, charging the whole or any part of the assets of the Club, and to execute mortgages to secure such debentures or mortgage debentures, or borrow money from bankers or other persons with or without security.
    [iii] To enter in all such negotiations, contracts and agreements in the name and on behalf of the Club, as they may consider expedient for the purpose of the Club, provided such negotiations, contracts and agreements are not in conflict with any other Rule.
    [iv] To invest the funds of the club in real or personal property in such manner as they shall think fit.
    [v] The Committee may at their discretion, authorise the Convenor of a Sub-committee to operate a bank account.  The Convenor shall submit a record of all receipts and payments for Annual Audit.  Such Statements to be published in the Club's Annual Balance Sheet.  The extent of the Sub-committees authority to expend shall be determined by the Committee
    [vi] Bar operations: The Committee shall have the power to apply for, obtain and from time to time renew a Club licence for the Club Pursuant to the provisions of the Sale of Liquor Act 1962 as inserted therein by the Sale of Liquor Amendment Act 1980 and any subsequent Amendment or any other Licence or charter from time to time available to the Club, and thereafter to conduct and manage the Licensed Premises subject to and in accordance with the provisions of the said club Licence and/or any other licence or Charter from time to time obtained by the Club and to do all things necessary and incidental to the conduct and management of the said Licence or Charter.
  (k)

The Committee shall have the power to appoint an Assistant Treasurer who will assist the Treasurer in the administration of the financial affairs of the Club and will carry out such duties as are from time to time  delegated by the Committee. 

 
ANNUAL GENERAL MEETING
7. (a)

The Annual General Meeting of the club shall be held at such time or place as the committee may determine, for the purpose of electing officers and members of the Committee, and of an Auditor who shall not be a member of the Committee, and of transacting such other business as shall have been specified in the notice convening the meeting, which notice, specifying the place, date and the hour of the meeting shall be posted on the Club's notice board at least 14 days prior to the time fixed for the holding thereof and advertised in the local newspaper at least 7 days prior to the time fixed for the holding thereof.  At each Annual General Meeting the Report of the Committee and the Balance Sheet and statement of Accounts for the past year shall be submitted for adoption.  Twenty-five members qualified to vote, personally present, at any Annual General Meeting shall constitute a quorum.

Any member entitled to vote who wishes to bring forward any proposal at an Annual General Meeting shall give notice of the same in writing to the Secretary at least fourteen days before the time of the meeting.  Such a proposal shall be specified in the notice convening the meeting.

No proposal shall be brought forward or discussed at an Annual General Meeting unless notice thereof has been given in accordance with the foregoing provisions of this Rule, but this provision shall not apply to bona fide amendments to proposals.  The Chairperson of any Annual General Meeting shall be sole judge as to whether any proposal, of which notice has not been given, is in order for discussion or not.

  (b)

The financial year of the Club shall be from the First day of October to the Thirtieth day of September in each year.

     
SPECIAL GENERAL MEETINGS
8. A Special General Meeting may be called by direction of the Committee at any time, or shall be called by the Secretary within fourteen days after the receipt of a requisition to that effect, signed by not less than twenty-five members of the Club, specifying the subject to be discussed at such meeting.  Notice of any such meeting, specifying the place, date and hour thereof, and the matter to be discussed thereat, shall be posted on the Club-House notice board at least 14 days prior to the time fixed for the holding thereof and advertised in the local newspaper at least 7 days prior to the time fixed for the holding thereof.

No business shall be transacted at any such meeting except that of which notice shall have been given as aforesaid, and no resolution shall be declared carried thereat, unless supported by a majority of the members present, and voting thereon.  Twenty five members qualified to vote personally present at any Special General Meeting shall constitute a quorum.

   
VOTING AT GENERAL MEETINGS
9. At all General Meetings of the Club;  Full, Life Members, 9 Hole Members, Country Members and Restricted Members only, shall be entitled to vote and each such member personally shall have one vote.

The Chairperson shall decide upon a show of hands in the first place but any member entitled to vote may require a ballot.

At all General Meetings the Chairperson shall have a deliberative vote and in case of equality a casting vote.

   
ELECTION OF MEMBERS
10. All candidates for membership, proposed and seconded by members of the Club in due form, shall be elected by the Committee.  No election of new members shall be made in Committee unless seven members are actually present. On admission of a new member the Secretary shall intimate the same to him/her, furnishing him/her with a copy of the Rules of the Club, and requesting him/her to pay the subscription.
   
ANNUAL SUBSCRIPTION
11. Members' subscriptions shall become due on the 1st  January in each year. The amount of subscription payable by Full Members shall be recommended  by the Management Committee to, but shall be subject to amendment and approval by, the Annual General Meeting, or a Special General Meeting of members.

The subscription of all other classes of member will be the percentage ratio of the Full Member subscription as written in the definitions of Member Classes.

A member other than a Life Member elected after the 1st  July shall be required to pay only one half of the Annual Subscription for that year.  A member other than a Life Member elected after the 1st  October shall be required to pay only one quarter of the Annual Subscription for that year.  Any subscription remaining unpaid 2 months after due date or 1 month after his/her election if elected during the year shall be subject to surcharges as set at the Annual General Meeting.

If through illness or being transferred from the district or being absent from the Dominion of New Zealand or for any other good reason a member is unable to make use of the Course for the whole or part of the year, the Committee at its discretion may rebate such portion of such members subscription as it considers reasonable.

   
UNFINANCIAL
12. A member shall be deemed unfinancial if his/her subscription and/or other monies due by him/her to the Club remain unpaid one month after the imposition of surcharges imposed under Clause 11.

A member who is unfinancial shall be ineligible to play in any Club competition and shall be liable to have his/her name removed from the list of members at the, discretion of the Committee, provided that upon payment of all arrears of subscription and/or monies due to the Club a member shall cease to be deemed unfinancial.

   
RESIGNATIONS
13. Any member wishing to resign from membership of the Club shall notify the same in writing to the Secretary prior to the Annual General Meeting, in default of which he/she shall be liable for his/her subscription for the year. The Club year being held to begin on the 1st  October and end on the last day of September in each year.
   
VISITING PLAYERS
14. The Committee shall have power to make such regulations as from time to time it may think fit for the admission of visiting players, whether resident or non resident in Geraldine or District.  Resident players shall not be entitled to play more than twice in each year.  Visiting players shall pay the green fees specified by the Committee from time to time.  A member introducing a visiting player is responsible for all payments for which such player becomes liable and for them recording their name in the visitors' book.  In the event of a visiting player being elected a member of this Club, any payments made by him/her under this Rule in the year in which he/she is elected may be deducted from the subscription payable by him/her for that year, provided that where a visiting player is elected a member after the 1st  August, no deduction shall be made for green fees paid by him/her prior to that date.
   
EXPULSION OF MEMBERS
15. The Committee may cancel the membership of any member whose conduct is such as in the opinion of the Committee to render such member's continued membership undesirable or likely to endanger the character, good order, or the welfare of the Club, provided such member:-
  (a)

(b)
Shall have been previously notified in writing of the charge against him/her and shall be given an opportunity to reply to same;
Shall have the right of appeal to a General Meeting of the Club if, within 14 days of being notified of such cancellation, he/she shall give notice in writing to the Secretary, claiming a review of such decision, in which case such member shall be entitled to attend such General Meeting and defend him/herself against the charge, but not to vote.
  In the event of the expulsion of any member, the name of such member shall be removed from the list of the members of the club, and he/she shall cease thenceforth to belong to the Club, or to have any claim against the property of the Club.
   
COMPETITIONS
16. All arrangements regarding competitions shall be made by the Committee, to whom also all disputes shall be referred, and the decision of the Committee in each case shall be final. On days when Matches or Tournaments are being played the Committee shall have the right to restrict the use of the Course to players participating in such Matches or Tournaments.
   
RULES OF THE GAME
17. The Rules of the Game as played by the Club shall be those of the Royal and Ancient Golf Club of St. Andrews, except as they may be varied by the local Rules and By-laws of the Club.
   
CESSATION OF MEMBERSHIP
18. Every person ceasing to be a member of the club, whether by resignation expulsion or death, shall forfeit, ipso facto, all right to or claim upon the Club, or its property, which he/she would have by reason of his/her membership.
   
CUSTODY AND USE OF SEAL
19. The Club shall have a Common Seal, which shall be kept in the custody of the Secretary, and which shall only be affixed to documents at a meeting of the Committee, or in pursuance of a resolution of the Committee, and the affixing of same shall always be attested by at least three members of the Committee. 
   
ALTERATION OF RULES
20. No Rule of the club shall be repealed or altered and no new Rule made without the consent of a majority of the members present at a Special General Meeting called for the purpose, and unless notice of such proposed alteration, repeal or addition shall have  been given in accordance with Rule 8.
   
INTERPRETATIONS
21. The Decision of the Committee on the interpretation of the Rules, or on any matter not contained in these Rules and which pertains to the Club, its property, or interest, shall be conclusive and binding on all members of the Club until revoked at a General Meeting.
   
PECUNIARY GAIN
22. No member shall derive pecuniary gain other than the payment of honorarium and except as a salaried officer of the club, from the property or operations of the Club.  "Pecuniary  Gain" does not include the winning of trophies or prizes.
   
WINDING UP
23. The Club may be wound up voluntarily if the Club at a General Meeting of members passes a resolution requiring the Club to be so wound up, and such resolution is confirmed at a subsequent General Meeting called together for that purpose and held not earlier than thirty days after the date on which the resolution so to be confirmed was passed.  Such resolution may also direct the method of disposition of the funds and property of the Club after the winding up thereof and notice of such resolution shall be sent to the Registrar.
